Jefferey LeMaster’s practice has been primarily focused on investment management, including advising hedge funds and private equity funds, as well as registered investment companies.
Jeff’s experience is predominately related to investment management, with a particular focus on the Investment Company Act of 1940 and the Investment Advisers Act of 1940. Jeff regularly advises sponsors of both private equity and hedge funds on organizational and regulatory issues, including aspects related to investment adviser registration, FINRA “new issues” and the Volcker Rule. Additionally, his work has included the formation and representation of U.S. registered closed-end investment companies, exchange-traded funds and the representation of underwriters in initial public offerings.
Daryl Liu is a Partner in the Singapore office and a member of the APAC Private Funds Group.
He is a Singapore-qualified lawyer with more than 15 years of specialist experience and advises clients on primary fundraisings, fund secondaries and restructurings, fund investments, co-investments and advisory mandates across private equity, real estate, infrastructure, private credit and other investment strategies. Daryl is a member of the Regulatory & Tax Committee of ANREV. He has been ranked by Legal 500 since 2017 and Chambers and Partners since 2018.
Viola specialises on the structuring and formation of a broad range of closed-ended and open-ended private investment funds (including private equity funds, real estate funds, hedge funds and hybrid funds, set up either offshore or in the form of HK LPFs and HK OFCs).
Viola is a member of AIMA Hong Kong's Executive Committee (previously a member AIMA Hong Kong's Regulatory Committee), Vice-Chairman (Legal) of the Technical Committee of the HKVCA, a core member of the PWMA Advisory Council and a committee member of the Professional Standards Committee of ANREV.
Rebecca Pereira has experience providing tax and structuring advice for a wide variety of domestic and international financial and business transactions, including cross-border financings, investment funds, private equity investments, real estate transactions, mergers and acquisitions and capital markets transactions.
Rebecca also advises multinational financial institutions and fund managers on FATCA compliance and related matters.
Maren Stadler-Tjan is an expert in advising asset managers and institutional investors in relation to the setting-up, structuring and investment into alternative investment funds (with a special focus on the German speaking markets (D-A-CH region).
She is a qualified lawyer in both Luxembourg and Germany and has over 10 years of experience in the formation of regulated and unregulated alternative investment funds. Maren Stadler-Tjan is specialised in real estate, private equity, infrastructure and debt funds. Her areas of expertise include general regulatory matters (including cross-border distribution related advise), co-investment arrangements and ongoing advise relating to asset managers and fund entities. Maren also has an interest in ESG and is leading our initiative on that front for the Luxembourg funds practice.
Laura Underhill specialises in the taxation of investment funds and advises fund managers in respect of a wide range of tax matters, focusing particularly on the structuring of private funds (and their investments), negotiations with investors and carried interest and executive co-investment arrangements.
Laura also advises institutional investors on the tax implications of investments in private funds.
